Terms and Conditions
Last Updated: October 11, 2026
Welcome to Change Adaptive. These Terms and Conditions (“Terms”) govern your use of changeadaptive.com, your purchases of digital products, and your use of services provided by Change Adaptive (“we,” “us,” or “our”).
By accessing our website, purchasing a product, creating an account, or using our services, you agree to these Terms. If you do not agree, you should not use our website or purchase our products.
If you have questions about these Terms, please contact us.
1. Products and Services
Change Adaptive provides organizational change management products, resources, and services, including:
Microsoft Excel templates, tools, and toolkits.
Other spreadsheet-based and digital assessment tools.
Digital guides, playbooks, and downloadable resources.
Online courses and training materials.
Professional consulting and advisory services, when offered.
Products and services may change over time. The features, contents, prices, and applicable licensing options for each product are described on its product page at the time of purchase.
Digital products are intended to help individuals and organizations perform change management activities. They do not guarantee any particular business outcome.
Any consulting engagement may be subject to a separate written agreement or statement of work. Where such an agreement conflicts with these Terms regarding that engagement, the separate written agreement will govern.
2. Digital Product Ownership and Intellectual Property
All digital products sold or distributed by Change Adaptive, including templates, tools, spreadsheets, guides, playbooks, course materials, and accompanying content, are owned by Change Adaptive or its licensors and are protected by applicable intellectual property laws.
Purchasing a digital product grants you a license to use that product under the applicable terms. Purchasing does not transfer ownership of the product or its intellectual property rights.
Unless otherwise stated, licenses are non-exclusive and non-transferable to another purchaser and remain valid for as long as the purchaser complies with these Terms.
You may use a licensed product repeatedly within the scope of your license. You may make reasonable working and backup copies and modify editable products for your permitted use.
You may not sell, sublicense, publish, publicly distribute, or commercially exploit the original product files or substantially similar modified versions outside the permitted scope of your license.
All Change Adaptive names, logos, trademarks, and other identifying materials remain the property of Change Adaptive or their respective owners.
3. Digital Product Licensing
Change Adaptive offers digital products, including templates, tools, toolkits, guides, playbooks, and other downloadable resources.
Unless otherwise stated on the product page, digital products are offered under a Single User License or an Organization License.
The applicable license options and prices are displayed on each product page at the time of purchase. Not every product is necessarily available under both options.
Where a product is sold without a separately identified license option, the Single User License applies unless the product page states otherwise.
Purchasing a product grants permission to use it according to the applicable license. Ownership and intellectual property rights remain with Change Adaptive.
Single User License
A Single User License permits one named individual to use the purchased product.
Under this license:
One individual may use the product across multiple projects and initiatives.
The product may be used for internal organizational work or professional consulting engagements.
The licensed individual may create, customize, and maintain working copies for their own use.
Completed assessments, reports, charts, recommendations, and other project deliverables may be shared with colleagues, clients, and relevant stakeholders.
Original product files, reusable templates, and accompanying copyrighted materials may not be distributed to other users.
A Single User License does not permit multiple individuals to independently use the purchased product.
An organization may purchase a Single User License for a designated employee and reassign it when that employee’s role or employment changes, provided only one individual uses the license at a time.
Organization License
An Organization License permits multiple authorized individuals within one organization to use the purchased product.
Under this license:
Employees within the licensed organization may use the product.
The product may be used across the organization’s departments, teams, locations, and projects.
Authorized users may share working copies and accompanying resources internally.
The organization may customize the product and maintain multiple working copies.
Contractors working directly on behalf of the organization may use the product for that organization’s projects, provided they do not retain or use the files for unrelated purposes.
An Organization License covers one legal entity. It does not automatically extend to parent companies, subsidiaries, affiliates, clients, or other independent organizations.
An organization providing consulting services may use its licensed products across multiple client engagements. However, reusable product files may not be transferred to clients for independent use.
Permitted Uses
Within the scope of the purchased license, users may:
Use products across multiple projects or initiatives.
Customize templates, tools, and other editable resources.
Create and maintain working copies.
Generate reports, analyses, presentations, and other deliverables.
Share completed project outputs with colleagues, clients, and stakeholders.
Retain completed work for business records.
Completed project outputs may include information, results, and visualizations produced using a licensed product. They do not include reusable copies of the underlying Change Adaptive product that would permit an unlicensed recipient to use it independently.
Prohibited Uses
Unless Change Adaptive provides written authorization, users may not:
Resell, sublicense, or commercially redistribute purchased products.
Share reusable product files with individuals or organizations not covered by the license.
Publish purchased files on public websites or file-sharing platforms.
Incorporate purchased products or substantially similar modified versions into other products offered for sale.
Remove copyright or ownership notices from distributed materials.
Provide third parties with independent access to reusable product files without an appropriate license.
Represent Change Adaptive products or substantially similar modified versions as products independently created by the purchaser.
License Duration and Product Updates
Licenses are one-time purchases unless the product page expressly specifies a subscription or other arrangement.
Licenses remain valid for the purchased product version as long as the purchaser complies with these Terms.
Future updates, new versions, and additional products are not automatically included unless stated on the product page or otherwise provided by Change Adaptive.
Change Adaptive may modify or discontinue products, licensing options, and pricing for future purchases without affecting the permitted use of versions already purchased under a valid license.
Product-Specific Terms
Some products may have additional or different licensing conditions, including team licenses, specialized commercial licenses, subscriptions, or other permitted uses.
Where such conditions apply, they will be identified on the relevant product page or in a separate written license agreement.
Explicit product-specific licensing terms govern that product to the extent they differ from the general licensing provisions above.
4. Online Courses and Training Materials
Unless otherwise stated on the course page, online courses are licensed to the individual registered participant.
Course access, login credentials, videos, and downloadable course materials may not be shared with other individuals.
Course participants may use the knowledge and skills gained from a course in their professional work. However, they may not reproduce, resell, redistribute, or publicly share course videos, presentations, lessons, or copyrighted training materials without written authorization.
Course access periods, included resources, and any additional conditions are described on the relevant course page.
If a course includes separately licensed digital products, those products are subject to the applicable licensing terms.
5. Purchases, Payments, and Delivery
Product prices are displayed on the relevant product pages and during checkout. Prices are listed in US dollars unless otherwise indicated.
Applicable taxes, where required, may be added during checkout.
Payment must be completed before a purchased digital product is made available.
Digital products may be delivered through:
Download links on the order confirmation page.
Links provided by email following purchase.
Access through a customer account.
Access through an online learning platform.
You are responsible for providing accurate purchase and contact information and maintaining access to your purchased files.
Change Adaptive may update product prices, product availability, and purchasing options at any time. Changes do not affect completed purchases.
6. Refunds and Returns for Digital Products
Due to the nature of downloadable digital products and online courses, all purchases are final and non-refundable once download access or product access has been provided, except where required by applicable law or under the limited exceptions below.
This policy applies to digital products, including templates, tools, toolkits, PDF guides, playbooks, online courses, and downloadable resources.
Limited Exceptions
Defective or unusable products
If a purchased digital product is demonstrably corrupted, defective, or unusable despite reasonable troubleshooting, contact us with a description of the issue.
We will make reasonable efforts to resolve the problem, including providing a corrected or replacement file when appropriate. If the issue cannot reasonably be resolved, a refund or credit may be provided.
Non-delivery
If you complete a purchase but do not receive the applicable download link or access information because of a technical error, please contact us.
We will make reasonable efforts to provide access. If we cannot deliver the purchased product, a refund may be issued.
Nothing in this section limits any refund, cancellation, or other consumer rights that cannot lawfully be excluded.
Refund requests and product-access issues should be submitted through our contact page.
7. Permitted Use of Our Website
You agree to use changeadaptive.com and its products lawfully and in accordance with these Terms.
You may not:
Copy, scrape, or systematically collect website content for unauthorized commercial distribution.
Use automated tools to interfere with the website or its operation.
Attempt unauthorized access to customer accounts, systems, files, or restricted content.
Misrepresent your identity or purchasing authority.
Infringe upon the intellectual property rights of Change Adaptive or third parties.
Use our website or products for unlawful purposes.
You may not reproduce or distribute substantial portions of our website content without permission, except where permitted by applicable law.
We reserve the right to restrict website access or suspend or terminate product access in response to a material violation of these Terms, subject to applicable law.
8. Information You Provide and Communications
When purchasing products, registering for courses, submitting inquiries, or requesting services, you may be asked to provide contact, billing, organizational, or project information.
You agree to provide accurate information and update it when necessary.
We may contact you about purchases, account access, product delivery, support requests, and other matters directly related to your transactions with us.
Marketing communications will be sent in accordance with applicable laws and any consent requirements. Where applicable, you may unsubscribe using the instructions provided in those communications.
Our collection, use, and handling of personal information are also governed by our Privacy Policy.
9. No Guarantees or Professional Advice
Change Adaptive develops its products and resources to support organizational change management work.
However, every organization and change initiative is different. Results depend on factors including the quality of information provided, professional judgment, implementation decisions, organizational conditions, and how the products are used.
We do not guarantee that purchasing or using any product will produce a particular project, operational, financial, or organizational outcome.
Templates, scoring systems, dashboards, guides, and training materials are decision-support resources. Users remain responsible for evaluating their outputs, validating assumptions, and deciding how to apply the information.
Unless a separate consulting agreement expressly provides otherwise, purchasing a digital product does not establish a consulting or advisory relationship with Change Adaptive.
Information provided through our website, products, and educational resources is not a substitute for legal, financial, or other regulated professional advice.
10. Disclaimer of Warranties
Products, website content, and services are provided on an “as is” and “as available” basis, except for express commitments made in an applicable written agreement and any rights that cannot lawfully be excluded.
While we make reasonable efforts to provide accurate, functional, and useful materials, we do not guarantee that:
Every product will meet every purchaser’s particular requirements.
Products will be compatible with every software configuration or computing environment.
All content will be free from errors or omissions.
Website services will always be uninterrupted or error-free.
Use of a product will produce any specified professional or business result.
To the extent permitted by applicable law, Change Adaptive disclaims implied warranties, including merchantability and fitness for a particular purpose.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Change Adaptive, its owners, employees, representatives, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of our website, products, or services.
This includes lost profits, lost business opportunities, business interruption, lost data, or losses arising from decisions made using our digital products.
To the extent permitted by applicable law, Change Adaptive’s total liability for a claim relating to a purchased digital product will not exceed the amount paid for the product giving rise to that claim.
Nothing in these Terms excludes liability or limits legal rights where doing so is prohibited by applicable law.
Professional consulting engagements may be subject to separate liability provisions contained in their written agreements.
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Change Adaptive, its owners, employees, and agents from third-party claims, damages, liabilities, and reasonable legal expenses arising from:
Your unlawful or unauthorized use of our website or products.
Your distribution or resale of digital products in violation of applicable licensing terms.
Your infringement of third-party rights.
Your material violation of these Terms.
This obligation does not apply to claims arising from Change Adaptive’s own unlawful conduct.
13. Dispute Resolution and Arbitration
If you have a dispute concerning a purchase, product, service, or these Terms, please contact us first so we can attempt to resolve the matter.
If the dispute cannot be resolved informally, you agree, to the extent permitted by applicable law, to resolve disputes through binding arbitration before a single arbitrator under the applicable rules of the American Arbitration Association (AAA).
The arbitrator will be selected according to the applicable AAA rules or by mutual agreement.
Unless applicable law or the applicable AAA rules require otherwise, the arbitration will take place in the jurisdiction where the party against whom the claim is brought is domiciled.
The arbitrator’s decision may be enforced in any court of competent jurisdiction.
To the extent permitted by applicable law, disputes will be resolved on an individual basis rather than through a class action, class arbitration, or other representative proceeding.
Nothing in this section prevents a party from bringing a claim in small-claims court where permitted by law or exercising rights that cannot lawfully be waived.
14. Changes to These Terms
Change Adaptive may update these Terms periodically to reflect changes in its products, licensing arrangements, business practices, or legal requirements.
Updated Terms will be published on our website with a revised “Last Updated” date.
Changes will generally apply prospectively. License rights already granted for completed purchases will not be reduced retroactively without an appropriate legal basis or agreement.
Your continued use of the website following publication of updated Terms constitutes acceptance to the extent permitted by applicable law. Where affirmative acceptance is legally required, we will seek that acceptance.
15. General Provisions
These Terms, together with any applicable product-specific license, purchase conditions, or separate written service agreement, constitute the agreement governing your relationship with Change Adaptive for the relevant products or services.
If any provision is found unenforceable, the remaining provisions will continue in effect to the extent legally permitted.
Failure by Change Adaptive to enforce any provision does not waive its right to enforce that provision later.
Any exception to the licensing restrictions in these Terms must be authorized in writing by Change Adaptive.
Nothing in these Terms establishes an employment, partnership, joint venture, or agency relationship between Change Adaptive and a customer solely because the customer purchases or uses a product.
